By ordering, accessing, or using VNAV Cloud services, you agree to these Terms. If you do not agree, you may not use our services.

1. Services

VNAV Cloud provides cloud hosting, infrastructure, and related services (“Services”). Service features, limits, and performance commitments are defined in your order, service description, and applicable Service Level Agreement (“SLA”).

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. If you act on behalf of an organization, you confirm you have authority to bind that organization.

3. Account Registration & Security

  • You are responsible for keeping your credentials confidential.
  • You are responsible for all activities under your account.
  • Unauthorized access must be reported immediately.
  • VNAV Cloud is not liable for losses caused by compromised credentials due to negligence.

4. Acceptable Use

  • Illegal content or activities
  • Malware, ransomware, or botnets
  • Unauthorized access or hacking
  • Abuse of resources
  • Spam, phishing, or fraud
  • Copyright infringement

VNAV Cloud may suspend or terminate services immediately if abuse is detected.

5. Customer Content & Responsibility

  • You retain ownership of all hosted data (“Customer Content”).
  • You are responsible for legality, integrity, and security.
  • VNAV Cloud does not monitor Customer Content.
  • You are responsible for backups unless agreed otherwise.

6. Data Protection & Privacy

VNAV Cloud processes personal data according to its Privacy Policy and applicable data protection laws. You are responsible for compliance with regulations such as GDPR.

7. Payments & Billing

  • Fees are charged as agreed at purchase.
  • Prices exclude taxes unless stated otherwise.
  • Invoices must be paid within the stated term.
  • Services may be suspended for overdue payments.

8. Service Availability & SLA

Availability, uptime guarantees, and credits are governed exclusively by the applicable SLA. Services are otherwise provided “as-is” and “as-available”.

9. Suspension and Termination

VNAV Cloud may suspend or terminate the Services immediately, in whole or in part, if:

  • You breach these Terms or any applicable agreement;
  • You violate the Acceptable Use Policy;
  • Payment is overdue;
  • Suspension or termination is required by law, regulation, or government order;
  • Your use poses a security, legal, or operational risk to VNAV Cloud, its customers, or infrastructure.

9.2 Termination for Convenience (General Right)

VNAV Cloud may discontinue, suspend, or terminate any Service, account, or part of the Services at any time and for any reason, by providing reasonable prior notice.

Unless a longer period is required by law or agreed in writing, the notice period will be:

  • Paid Services: at least 30 days notice
  • Free or Trial Services: at least 14 days notice

9.3 Free, Trial and Beta Services

Free, trial, beta, preview, or promotional Services:

  • are provided as-is and without commitment;
  • may have limited functionality;
  • may be modified, limited, or discontinued at any time.

VNAV Cloud may terminate or suspend Free Services without liability, subject to a reasonable notice period where practicable.

9.4 Product Changes & Service Sunset

VNAV Cloud may:

  • modify, replace, or discontinue any Service or feature;
  • change resource limits, pricing models, or service tiers;
  • retire (“sunset”) products or features.

Where reasonably possible, VNAV Cloud will provide advance notice and the opportunity to export Customer Content.

9.5 Customer Right to Terminate After Changes

If a change to the Services or Terms materially negatively affects you, you may stop using the Services and terminate the agreement before the change takes effect.

9.6 Effect of Termination

Upon termination or expiration:

  • Your right to use the Services ends immediately;
  • You remain responsible for outstanding fees;
  • You are responsible for exporting your data before termination;
  • VNAV Cloud may delete Customer Content after a reasonable retention period.

10. Suspension & Termination

  • Breach of these Terms
  • Violation of acceptable use
  • Non-payment
  • Legal or government requirements

Outstanding fees remain payable upon termination.

11. Limitation of Liability

VNAV Cloud is not liable for indirect or consequential damages. Total liability is limited to fees paid for the affected service during the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless VNAV Cloud against claims arising from your use of the Services, Customer Content, or violation of these Terms.

13. Intellectual Property

All VNAV Cloud trademarks, software, and documentation remain the exclusive property of VNAV Cloud.

14. Changes to Terms

VNAV Cloud may update these Terms. Continued use of the Services constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of The Netherlands.
